Assignments and others.



Assignments.

To record the assignment of trademarks, slogans, commercial names, we will require the following:

a) An assignment form, duly executed by the assignor and by the assignee. Both signatures must be legalized up to the Costa Rican Consul. The trademark(s) to be assigned must be specifically identified including their registration number. They may be listed in a separate exhibit, but such exhibit must be executed by both parties, as part of the assignment form. (click here to download the assignment form). Costa Rican Law requires that the consideration for the transfer is contained in the document. We recommend to use a nominal amount such us US$10.00 per mark.

b) A Power of Attorney granted by the assignee duly legalized by a Costa Rican Consul. (click here to download a power of attorney form)



Recordal of license agreements.

A Trademark License Agreement is an act between particulars, which, according to Costa Rican legislation, is not mandatory to be registered. Registration is optional as a notice to third parties or if the licensee will defend the trademark in the name of the licensor. Also, some types of goods such as food and drugs require a license to be registered in the name of the importer in Costa Rica.

To register the License Agreement, we will require:

a) The License Agreement document duly legalized up to the Costa Rican Consul.

b) A Power of Attorney as per enclosed form in the name of the Licensee duly legalized up to the Costa Rican Consul. (click here to download a power of attorney form)


Change of corporate name.

To record a change of corporate name we will require the following:

a) A certificate issued by the corresponding authority (Mercantile Registry or Secretary of State), attesting the change of corporate name duly legalized by a Costa Rican Consul

b) A Power of Attorney containing the new name of the company duly legalized by a Costa Rican Consul. (Click here to download a power of attorney form)


Mergers.

To record a merger we will require the following:

a) A certificate issued by the corresponding authority (Mercantile Registry or Secretary of State), attesting the merger and the name of the resulting entity, duly legalized by a Costa Rican Consul

b) A Power of Attorney in the name of the resulting entity duly legalized by a Costa Rican Consul. (Click here to download a power of attorney form)
